Power of Attorney. Each Limited Partner hereby irrevocably appoints the General Partner its true and lawful attorney-in-fact, who may act for each Limited Partner and in its name, and for its use and benefit, to sign, acknowledge, swear to, deliver, file or record, at the appropriate public offices, any and all documents, certificates, and instruments as may be deemed necessary or desirable by the General Partner to carry out fully the provisions of this Agreement in accordance with their terms, which power of attorney shall survive the death, dissolution or legal incapacity of the Limited Partner, or the transfer by the Limited Partner of any part or all of its Partnership Interest.
授权委托书。每一有限合伙人特此不可撤销地任命普通合伙人为其真实、合法的代理人；只要普通合伙人认为根据条款为充分履行本协议是有必要且应为的，普通合伙人可为实际用途及其利益，在合适的公共办公场所委托人英文，以有限合伙人之名义，签署、认可、宣誓、递交、归档或记录任何文件、证书、文书委托人英文，且授权委托书在有限合伙人死亡、解散、丧失行为能力，或转让部分或全部合伙利益后仍然有效。
